Can solidarity be imposed on for-profit companies? The main objective of this essay is to frame for-profit companies within the framework of our Constitution, and then to examine whether it allows them, on the one hand, to qualify as constitutionally understood social entities (“formazioni sociali”) and, on the other, to allow the State to limit their action so that they contribute to the social sustainability of the Italian Republic. The thesis of this paper is that, thanks to well-crafted mandatory provisions, for-profit companies can support the State in promoting social cohesion and solidarity. Among these mandatory provisions, this article proposes one requiring for-profit companies to allocate a percentage (not exceeding 3%) of their annual net profits to a private foundation of national importance, which must allocate the funds raised to qualified third-sector organisations. According to the author, this legislative proposal would not conflict with the Italian Constitution (in particular Article 41) nor with EU State aid law.
Il principale obiettivo del presente saggio è inquadrare le società lucrative all’interno della nostra Costituzione, per poi verificare se questa consenta, da un lato, a queste stesse società di qualificarsi come formazioni sociali costituzionalmente intese e, dall’altro lato, allo Stato di limitare la loro azione, in modo che esse concorrano alla sostenibilità sociale della Repubblica italiana. Tale concorso potrebbe avvenire prescrivendo alle società lucrative di destinare una percentuale (non superiore al 3%) dei loro utili netti annuali a una fondazione privata di rilievo nazionale, incaricata di allocare i fondi raccolti a enti del Terzo settore operanti in alcuni ambiti dello stato sociale. Nel contributo si sostiene che questa proposta legislativa non contrasti né con la Costituzione né con il diritto unionale sugli aiuti di Stato.
