This article analyses the harmonisation of “company” disclosure requirements introduced by Directive EU 2025/25 (the so-called Digitalisation II Directive) – understood as the obligation to register in the business register and to disclose a certain set of company and business information –, with particular focus on the consequences arising from its extension to “commercial” partnerships. After identifying the Directive’s underlying rationale – revolving around the strengthening of the single market by improving the reliability and cross-border accessibility of “company” information – the article examines the subjective scope of harmonisation, highlighting certain systemic inconsistencies resulting from the use of the term “commercial” without a clear definition of its meaning, and the objective scope, with regard to the the preventive control and legality check regime and the derogation under Article 10(3) of Directive (EU) 2017/1132 (as amended). The article further examines the consequences for Italian company law, arguing that implementation of the directive requires reconsidering the regime of unregistered partnerships, making the registration in the busi- ness register a constitutive requirement for general partnerships (società in nome collettivo) and limited partnerships (società in accomandita semplice), and proposing that the società semplice serve as the residual legal form for the de facto joint conduct of business activities.
Lo scritto esamina l’armonizzazione della disciplina della pubblicità d’impresa introdotta dalla direttiva Ue n. 25/2025 (c.d. direttiva digitalizzazione II), con particolare attenzione alle conseguenze derivanti dalla sua estensione alle società di persone “commerciali”. Dopo aver ricostruito gli obiettivi della direttiva, riconducibili all’obiettivo di rafforzare il mercato unico migliorando l’affidabilità e l’accessibilità transfrontaliera delle informazioni societarie, viene delineato il perimetro soggettivo dell’armonizzazione – rilevando alcune incongruenze sistematiche che derivano dall’utilizzo del termine “commerciale” senza averne definito univocamente il significato – nonché il suo ambito oggettivo, con riguardo al regime del controllo preventivo di legalità e alla deroga prevista dall’art. 10, co. 3, della direttiva Ue 2017/1132 come novellata. L’articolo esamina altresì le conseguenze per il diritto societario italiano, argomentando che il recepimento della direttiva impone di riconsiderare il regime delle società di persone irregolari, individuando l’iscrizione al registro delle imprese quale presupposto costitutivo per le società in nome collettivo e le società in accomandita semplice, e proponendo l’individuazione della società semplice quale tipo residuale per lo svolgimento in comune di attività produttive esercitate in via di fatto.
